These Terms and Conditions define the framework under which HireKotlinDevelopers.com provides services and interacts with clients. Accessing the website or engaging services indicates agreement with the terms outlined below.
Definitions
- Agreement refers to any written understanding between the company and the client, including proposals, terms, schedules, and related documentation.
- Client Content includes all materials supplied by the client for use within a project, such as text, graphics, data, or other assets.
- Deliverables are the outputs specifically identified in the Agreement to be produced by the company.
- Company Tools include methodologies, software components, code libraries, workflows, design structures, and technical assets developed or used by the company, whether protected by intellectual property law or not.
- Final Deliverables are the completed versions of Deliverables provided to the client upon fulfillment of the agreed requirements.
- Project means the scope of work described in the Agreement.
- Services include all development, consulting, and related activities performed under the Agreement.
- Third-Party Materials refer to assets sourced from external providers, including licensed images, libraries, or services.
Service Delivery
Services are performed in accordance with the scope, timeline, and milestones defined in the Agreement. The company applies commercially reasonable skill and professional judgment throughout execution.
Proposals and Scope
Proposals remain valid for thirty (30) days unless otherwise stated. If a proposal is not accepted within this period, the company may revise its terms before resubmission.
Fees and Costs
Project fees are defined in the Agreement. Third-party expenses such as hosting, subscriptions, or licenses are billed separately unless explicitly included. All applicable taxes are the responsibility of the client.
Payment Terms
Invoices are payable within five (5) days of issuance unless otherwise agreed. Payment schedules are linked to project milestones outlined in the Agreement.
Modifications to Scope
Any request to alter the Project must be submitted in writing.
- Adjustments of limited impact may be billed at standard hourly rates.
- Substantial changes affecting scope, cost, or timelines require a revised or supplemental Agreement before work continues.
Project Timing
Delays caused by missing client input, approvals, or materials result in corresponding timeline extensions. Events beyond the reasonable control of either party do not constitute a contractual breach.
Review and Acceptance
Deliverables undergo internal testing before submission. Clients have seven (7) business days to review and provide written feedback. Identified issues will be addressed within a reasonable timeframe as agreed.
Client Responsibilities
Clients are responsible for ensuring that supplied materials are lawful, accurate, and ready for integration. Proofreading and validation of content remain the client’s obligation unless otherwise agreed.
Attribution and Public Reference
Unless restricted by the Agreement, the company may reference completed projects in portfolios or promotional materials. Neither party shall unreasonably prevent factual acknowledgment of collaboration.
Confidentiality
Information identified as confidential must be protected by both parties and not disclosed to third parties. Information already publicly known or lawfully obtained without restriction is excluded from this obligation.
Working Relationship
The company operates as an independent contractor. Nothing in the Agreement establishes an employment relationship, partnership, or joint venture.
Limitation of Responsibility
Services are provided without guarantees beyond those explicitly stated. Any responsibility arising from the Agreement is limited to the amount paid for the Services related to the claim.
Rights to Work Product
Upon full payment, the client receives a non-exclusive, perpetual right to use the Final Deliverables as agreed. Ownership of the underlying Company Tools remains with the company unless explicitly transferred in writing.
Support and Maintenance
Ongoing support is provided only if specified in the Agreement and is billed separately. Any warranty is void if Deliverables are altered by parties other than the company.
Updates to Terms
These Terms and Conditions may be updated at any time. The version published on the website governs current use, and continued access constitutes acceptance of the revised terms.
